Terms of Service
Last updated: September 23, 2026
These terms are an agreement between you and Noobiesoft for your use of nexus. By creating an account or using nexus, you agree to these terms. If you do not agree, do not use nexus.
1. The service
nexus is a solo business-management app. It includes tools for clients, services, tasks, scheduling, files, forms, assets, invoices, reporting, booking, and client access. Available features may change over time.
nexus is intended for business use by a single account holder. You must be legally able to enter into this agreement.
2. Trial, subscription, and limited access
New accounts receive one 14-day trial. No payment method is required to start the trial, and the trial does not convert to a paid subscription automatically.
After the trial, full access requires a nexus subscription. The current price, billing period, limits, and included features are shown before you subscribe. Subscription charges are in Canadian dollars unless checkout states otherwise.
If your trial ends or your subscription lapses, your account moves to limited access. Limits can include reduced storage and uploads and the inability to create new invoices. Limited access is not a free plan.
3. Billing
Stripe processes nexus subscription payments. By subscribing, you authorize Stripe and Noobiesoft to charge the displayed subscription price and applicable taxes to your selected payment method.
Subscriptions are billed in advance and renew automatically until canceled. Your bank or card issuer may charge currency conversion or other fees.
We may change pricing or subscription features. Changes apply no earlier than your next renewal after any notice required by law. If you do not accept a change, cancel before it takes effect.
4. Cancellation and refunds
You can cancel through Account Settings or the Stripe customer portal. Cancellation stops the next renewal. Full subscription access continues until the end of the paid billing period, then the account moves to limited access.
Payments are generally non-refundable, including for unused time in a billing period. We may issue a refund for a duplicate charge, billing error, service failure, or another appropriate reason. This does not limit any refund right required by law.
See Cancellation and Refunds for the current process.
5. Your account
You must provide accurate account information and keep it current. You are responsible for:
- Protecting your password, recovery codes, and devices
- Activity performed through your account
- Telling us promptly about suspected unauthorized access
- Keeping your own exports or copies of important business records
Do not share an account in a way that bypasses subscription or account limits.
6. Your content and client data
You keep ownership of content you add to nexus. You give Noobiesoft a limited, non-exclusive right to host, copy, process, and transmit that content only as needed to operate, secure, and support nexus or comply with law. This right ends when the content is deleted, subject to backups and legal retention requirements.
You are responsible for your content and for having the right to use it. This includes client contact details, form responses, files, payment details, and other personal information. You must provide notices and obtain consent where required.
Links to invoices, forms, booking pages, and client portals can expose information to anyone who receives the link. Share and revoke links carefully.
7. Invoices, taxes, and connected payments
nexus provides record-keeping and calculation tools. It does not provide accounting, tax, financial, or legal advice.
You are responsible for:
- Invoice accuracy, numbering, currency, terms, and delivery
- Tax registration, rates, calculations, reporting, and remittance
- The legality and accuracy of client and business records
- Reviewing generated documents before sending or relying on them
Workspace currency settings control display and invoice values. nexus does not perform currency conversion.
You may connect your own Stripe, Square, or PayPal account to accept invoice payments. Those payments are processed under your agreement with that provider. Noobiesoft is not the merchant for your services, does not hold your invoice proceeds, and is not responsible for disputes between you and your client.
8. Acceptable use
Do not:
- Break the law or another person's rights
- Upload malware or attempt unauthorized access
- Interfere with the security or operation of nexus
- Probe, scan, scrape, or overload the service except through authorized testing
- Use nexus to deceive, harass, threaten, or harm another person
- Send unlawful or unsolicited communications
- Resell or copy nexus except with written permission
We may remove content or restrict access when reasonably necessary to address a violation, security risk, legal request, or harm to the service or another person.
9. Privacy
The Privacy Policy explains how Noobiesoft handles personal information. You are responsible for your own privacy obligations to clients and others whose information you place in nexus.
10. Service operation
We work to keep nexus available and secure, but the service may be interrupted for maintenance, failures, security events, or causes outside our control. Features may be added, changed, or removed.
You can export personal data from Account Settings and workspace data from Workspace Settings. Export important records before deleting your account or ending use of the service.
11. Suspension and termination
You may delete your account at any time. Canceling a subscription does not delete the account.
We may suspend or terminate access if you materially breach these terms, fail to pay, create a security risk, use nexus unlawfully, or cause harm to the service or others. Where practical, we will give notice and an opportunity to correct the issue.
Sections that by their nature should survive termination remain in effect, including ownership, disclaimers, liability limits, and payment obligations.
12. Intellectual property
Except for your content, nexus and its software, design, branding, and documentation belong to Noobiesoft or its licensors. These terms do not transfer those rights to you.
Feedback you choose to provide may be used without restriction or payment, but we will not identify you publicly without permission.
13. Disclaimers
To the extent permitted by law, nexus is provided "as is" and "as available." Noobiesoft does not guarantee uninterrupted operation, error-free calculations, a particular business result, or that nexus will meet every legal, tax, or accounting requirement.
Nothing in these terms excludes a warranty or right that cannot legally be excluded.
14. Limitation of liability
To the extent permitted by law, Noobiesoft is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities.
Noobiesoft's total liability arising from nexus or these terms is limited to the amount you paid for nexus during the 12 months before the event giving rise to the claim.
These limits do not apply where prohibited by law.
15. Indemnity
To the extent permitted by law, you will defend and indemnify Noobiesoft against third-party claims, losses, and reasonable costs arising from your content, your business, your connected payment account, or your material breach of these terms. This does not apply to the extent a claim was caused by Noobiesoft.
16. Changes to these terms
We may update these terms to reflect changes to nexus, law, security, or business operations. We will post the revised terms and update the date above. For a material change, we will provide notice by email or in nexus before it takes effect. The notice will identify the effective date and request acceptance when required by law. Otherwise, continued use after the effective date means you accept the revised terms.
17. Governing law
These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Disputes will be brought in the courts of British Columbia unless applicable consumer law requires otherwise.
Local consumer protections that cannot be waived continue to apply.
18. General terms
If part of these terms is unenforceable, the remaining terms stay in effect. A failure to enforce a term is not a waiver. You may not transfer this agreement without our consent. We may transfer it as part of a reorganization, financing, merger, or sale of the service.
These terms, the Privacy Policy, and policies linked here form the agreement for nexus.
